Bitley Sound Bank License Terms
All Bitley sound banks and related products (“Products”) are licensed, not sold. The license is granted on a personal, non-exclusive, non-transferable, and revocable basis to the individual purchaser (“Licensee”).
The Licensee may not copy, reproduce, distribute, sublicense, lend, rent, lease, share, resell, transfer, assign, give away, or otherwise make the Products or any part thereof available to any third party, whether free of charge or for compensation.
Each individual who uses the Products must hold their own valid license. In collaborative environments (including but not limited to bands, studios, production teams, educational institutions, and commercial facilities), a separate license is required for each user and each workstation.
The Products are protected by copyright and other intellectual property laws. All rights not expressly granted to the Licensee are reserved by Bitley.
System Exclusive Content and Hardware Transfers
Certain Products are delivered as system exclusive data or embedded in hardware devices. The Licensee is expressly prohibited from selling, lending, transferring, or otherwise disposing of any hardware device that contains Bitley Products without first permanently removing all such Products and restoring the device to its original factory state.
The license is personal to the original purchaser and does not transfer with the sale, gift, or transfer of any hardware, computer, or storage medium.
Unauthorized Possession
If the Licensee or any third party possesses the Products without a valid license, such possession constitutes an infringement of Bitley’s intellectual property rights. In such case, the Products must be immediately deleted and permanently destroyed, or a valid license must be purchased directly from Bitley.
Breach and Termination
Any breach of these terms shall result in immediate termination of the license without refund. Upon termination, the Licensee must immediately cease all use of the Products and permanently delete all copies in their possession or control.
Bitley reserves the right to pursue any legal remedies available under applicable law in the event of infringement or breach.
Governing Law
These license terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Bitley is established, without regard to its conflict of law principles.
